Paradoc is an AI-powered payment management platform that helps businesses streamline their payment reminder processes. The Service includes file upload capabilities, AI-powered data extraction, automated email reminders, and analytics dashboard. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. User Accounts

To access certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

4. Subscription & Billing

The Service is offered on a subscription basis with the following terms:

  • Subscriptions are billed in advance on a monthly or yearly basis
  • All fees are non-refundable except as required by law
  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of your current billing period
  • We reserve the right to change pricing with 30 days notice

If payment fails, we may suspend or terminate your access to the Service. You are responsible for all applicable taxes.

5. User Content & Data

You retain ownership of all data you upload to the Service ("User Content"). By using the Service, you grant us a limited license to:

  • Process, store, and analyze your User Content to provide the Service
  • Use aggregated, anonymized data for service improvement
  • Comply with legal obligations and protect our rights

You are responsible for ensuring your User Content does not violate any laws or third-party rights. We reserve the right to remove content that violates these Terms.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Infringe on intellectual property rights
  • Transmit malicious code or engage in harmful activities

8. Third-Party Services

The Service integrates with third-party services including Stripe for payments, email providers for sending reminders, and AI services for data processing. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party service failures or changes.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARADOC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Paradoc and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of the Service or violation of these Terms.

12. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and the laws of the State of Delaware shall govern these Terms.

13. Modifications

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
